Social Deli – Content Retainer Terms & Conditions
These Terms & Conditions govern the provision of services by Social Deli Marketing Services Pty Ltd ("we", "our", "us") to the client ("you", "your"). By engaging our services, you agree to the following terms.
Retainer Commitment & Scope
1.1. This service is provided as an ongoing monthly content retainer, including one scheduled shoot per cycle.
1.2. The first three (3) months constitute a minimum commitment ("Minimum Term").
1.3. After the Minimum Term, the retainer continues on a rolling basis unless cancelled with thirty (30) days' written notice.
1.4. Cancellation during the notice period does not waive any fees due during that period.
1.5. Each retainer cycle includes one shoot. If a shoot is rescheduled, it must occur within a reasonable timeframe and is subject to availability.
1.6. Unused or cancelled shoots are not refundable and may not be carried over beyond the notice period.
Booking, Briefing & Product Delivery
2.1. A shoot date will be scheduled in advance as part of the retainer.
2.2. Clients must submit the completed booking form and shoot brief prior to the shoot.
2.3. Products must arrive at our studio at least seven (7) days prior to the scheduled shoot date.
2.4. Products must be securely packaged and clearly labelled.
Rescheduling & Missed Shoots
3.1. You may request a change to your scheduled shoot date with at least fourteen (14) days' notice.
3.2. Changes requested within fourteen (14) days are not possible, as we are unable to fill our calendar within that timeframe.
Styling & Creative Approach
4.1. All creative direction, styling decisions, composition, lighting, framing, and production approach are determined by the Social Deli creative team at its sole discretion.
4.2. Client references, inspiration, and briefs are treated as guidance only and do not constitute binding creative instructions.
4.3. The client acknowledges that creative outcomes are inherently subjective and that no reshoots, refunds, or re-productions will be provided on the basis of subjective preference, stylistic opinion, or aesthetic dissatisfaction.
4.4. Standard styling includes simple, clean setups designed to support creator-led content.
4.5. Elaborate or bespoke styling is not included unless otherwise agreed in writing.
4.6. Clients are encouraged to allow creative freedom to ensure the best results.
Shoot Process
5.1. All content is captured using professional equipment at our studio.
5.2. Products must arrive in pristine condition; we are not responsible for scratches, marks, or faults upon arrival.
5.3. Garments must be clean, crease-free, and ready to photograph.
Delivery & Post-Production
6.1. Edited content will be delivered within fourteen (14) days of the shoot date.
6.2. Rush delivery is available for an additional fee.
6.3. Feedback must be provided within five (5) business days of delivery.
Payments
7.1. The monthly retainer fee is payable in advance of each scheduled shoot.
7.2. Content may not be used until invoices are paid in full.
7.3. The first month must be paid in full to secure the initial booking.
7.4. All prices are in AUD and exclude GST unless stated otherwise.
Refund Policy
8.1. No refunds are provided under any circumstances.
Intellectual Property
9.1. All content remains the intellectual property of Social Deli.
9.2. Upon full payment, you are granted a non-exclusive licence for marketing use.
Product Return & Transit
10.1. Social Deli is not liable for loss or damage in transit.
10.2. Clients are responsible for all return shipping costs.
Liability
11.1. Our liability is limited to the value of the service fee paid.
Additional Editing & Revisions
12.1. One round of revisions to existing footage is included.
12.2. Revisions do not include reshoots, new concepts, or new setups.
12.3. Additional revisions are billed at $75/hour, minimum one hour.
Governing Law
13.1. This agreement is governed by the laws of Victoria, Australia.
Entire Agreement
14.1. This document constitutes the full agreement between both parties.
Non-Payment & Suspension of Services
15.1. If any invoice remains unpaid for more than sixty (60) days past its due date, Social Deli reserves the right to suspend all services, including production, editing, and delivery, until the outstanding balance is settled in full.
15.2. During any period of suspension, scheduled shoots will be forfeited and will not be rescheduled, refunded, or credited once payment is brought up to date.
15.3. Reinstatement of services following suspension is subject to availability and does not entitle the client to retroactive, missed, or forfeited shoots.
Promotional Offer: 2 Free Months
16.1. From time to time, Social Deli may offer a promotional pricing structure gifting clients free months of service ("the Offer").
16.2. Under the current Offer, Month 2 of your retainer will be provided free of charge.
16.3. If you remain an active client through to Month 5, that month will also be provided free of charge.
16.4. Free months apply to the retainer fee only. Any third-party expenses, rush delivery fees, or additional services remain payable.
16.5. The Offer is available to new clients only and is limited to 50 businesses. Social Deli reserves the right to withdraw the Offer at any time.
16.6. Free months are forfeited if the retainer is cancelled before the relevant month is reached. No credit or refund will be issued in lieu of a forfeited free month.
16.7. The Minimum Term of three (3) months still applies. After the Minimum Term, the retainer may be cancelled with thirty (30) days' written notice.
